Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Timetied marketplace platform ("Service"), operated by Timetied Ltd, a private limited company registered in Northern Ireland (company number NI740404), with registered office at 26 Colinward Street, Belfast BT12 7EP, United Kingdom ("Timetied", "we", "us"). By creating an account or using the Service, you ("User") agree to be bound by these Terms.

1. Description of the Service

Timetied operates an online marketplace platform connecting freelancers ("Workers") with people who hire them ("Hirers"). Hirers may post jobs, fund them via our payments partner, and receive deliverables. Workers may browse jobs, accept them, and receive payouts. The Service's distinctive feature is that the percentage of the agreed budget paid to a Worker is determined by whether they meet the agreed deadline.

Timetied is a software platform. We do not act as the employer of any Worker, do not act as the principal in any transaction, and do not directly hold User funds. All payment processing, fund holding, and payouts are handled by Stripe, Inc. ("Stripe") via Stripe Connect Express.

2. Account Eligibility and Registration

  1. You must be at least 18 years old and legally able to enter into binding contracts in your country of residence.
  2. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
  3. You are responsible for all activity occurring under your account and for keeping your login credentials confidential.
  4. One person may not maintain multiple accounts. Workers wishing to receive payouts must complete identity verification through Stripe.

3. Posting and Accepting Jobs

Hirers may post jobs by specifying a budget, a deadline, an approval method, and a description of the work required. Posting a job requires that funds equal to the budget plus the platform fee be authorised through Stripe. Workers accept jobs by indicating their agreement to the posted terms; once accepted, the Worker undertakes to deliver the agreed work by the deadline.

4. Payments, Fees, and Payouts

  1. Funding. When a Hirer funds a job, payment is processed and held by Stripe under the rules of the Stripe Services Agreement. Timetied does not directly hold User funds at any point.
  2. Deadline-based payout. If the Worker submits the agreed deliverables on or before the deadline, the Worker receives 100% of the budget. For each day late, the payout decreases by 10% of the budget. The payout reaches zero on the tenth day of lateness.
  3. No submission. If the Worker fails to submit any deliverable, the Hirer receives a full refund, including the platform fee.
  4. Refunds. Any portion of the budget not earned by the Worker is automatically refunded to the Hirer's original payment method via Stripe.
  5. Platform fee. Timetied charges a service fee to the Hirer of 5% on card payments and 3% on bank transfer payments, with a minimum fee of £3, on jobs up to £5,000. On jobs over £5,000 the fee is 3% on card and 2% on bank transfer. Workers pay no platform fee.
  6. Currencies and taxes. Fees and budgets may be denominated in GBP, USD, or EUR. Users are individually responsible for any taxes due on their earnings or expenditures arising from the Service.

5. Approval Methods

When posting a job, the Hirer selects one of the following approval methods:

Either party may raise a dispute on a submitted job within the contest window, regardless of approval method.

6. Disputes and Mediation

If either party disputes the outcome of a job, the matter is reviewed by a Timetied-appointed mediator. The mediator considers the original brief, the submission, and statements from both parties, and decides what percentage of the budget is paid to the Worker. The mediator's decision is binding within the Service. Funds remain held by Stripe during the review.

You agree not to use the Service to:

8. Intellectual Property

Workers retain ownership of work they create unless the parties expressly agree otherwise in the job description. On approval and payment, the Worker grants the Hirer a perpetual, worldwide, royalty-free licence to use the deliverables for the purposes specified in the job. Hirers wishing to acquire full assignment of intellectual property must specify this in the job posting; payment via the Service constitutes such assignment if the posting clearly so states.

The Timetied platform itself, including all software, designs, trademarks, and content, is owned by Timetied Ltd and may not be copied, modified, or distributed without our written consent.

9. Stripe Services Agreement

By using the Service, Workers receiving payouts also agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Hirers paying through Stripe agree to Stripe's customer-facing terms.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Timetied disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the quality of any Worker's output or the conduct of any Hirer.

11. Limitation of Liability

To the maximum extent permitted by law, Timetied's total liability to any User in respect of any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the platform fees paid by that User to Timetied in the twelve months preceding the claim, or (b) £100. Timetied is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

12. Termination

You may close your account at any time. We may suspend or terminate your access to the Service at our discretion if you breach these Terms or for any other lawful reason, with or without notice. Termination does not affect either party's obligations on jobs already in progress.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to active Users at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Northern Ireland. The courts of Northern Ireland shall have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where local law gives consumers an inalienable right to bring proceedings in their country of residence.
